Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Linuto LLC ("Company," "we," "us," or "our"), a Delaware limited liability company operating in Minnesota, regarding your use of PricingLink.com and its related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Service.

2. Description of Service

PricingLink is a SaaS (Software as a Service) platform that enables accounting firms to create and manage pricing portals for their clients and potential clients. The Service includes all features, content, and functionality offered through PricingLink.com.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized access

We reserve the right to disable any account at our sole discretion for any or no reason, including if we believe you have violated these Terms.

4. Subscription and Payments

Access to the Service requires payment of subscription fees. All payments are processed through Stripe.

  • Subscription fees are billed in advance on a recurring basis
  • All fees are non-refundable unless required by law
  • We reserve the right to change subscription fees upon notice
  • You are responsible for all applicable taxes
  • Failure to pay may result in service suspension or termination

5. User Responsibilities and Restrictions

You agree not to:

  • Use the Service for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Attempt to gain unauthorized access to the Service
  • Interfere with the Service's operation
  • Upload malicious code or content
  • Impersonate others or provide false information

6. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Linuto LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your content but grant us a worldwide, non-exclusive license to use, store, and display your content for the purpose of providing the Service.

7. Third-Party Services

The Service integrates with third-party services including Google Analytics, Render.com, Cloudflare, Amazon SES, and Stripe. Your use of these services is subject to their respective terms and policies.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LINUTO LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

10. Indemnification

You agree to defend, indemnify, and hold harmless Linuto LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Minnesota.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
